The total amount of fund raised is expected to not exceed 100.00% of the transaction price of assets purchased by issuing shares in this transaction, which

will be used to pay cash consideration, intermediary fees and bank loans.

According to the announcement, Central China Interconnection was established in 2001, and in the early stage of entrepreneurship, it mainly adopted the

direct business model to expand. In 2008, the company turned to the mode of

franchise in an all-round way. As of October 31, 2018, the business of Central Interconnection has developed to 17 key cities, with more than 2400 franchised stores.

In 2016, 2017 and the first half of 2018, the operating income of China Central Interconnection was 149 million yuan, 229 million yuan and 254 million yuan

respectively, with net profits of 31.87 million yuan, 47.7267 million yuan and 304.345 million yuan respectively. By the

end of June 2018, the total assets, liabilities and owner’s equity of China Central Interconnection were 245 million yuan, 88.47 million yuan and 156 million yuan respectively.
